Plus Membership Terms

LuxGift Plus is a paid membership that renews automatically until you cancel. These LuxGift Plus Membership Terms (these "Membership Terms") govern your enrollment in and use of the LuxGift Plus membership ("Plus" or the "Membership"). These Membership Terms are a legal agreement between you and LuxGift Corp. ("LuxGift," "we," "us," or "our"), a Delaware corporation. By enrolling in Plus, you agree to these Membership Terms, together with our Terms of Service, Privacy Policy, and Plus Credits Terms, each incorporated by reference. If you do not agree, do not enroll in Plus.

Capitalized terms not defined here have the meaning given in the Terms of Service. In the event of a conflict between these Membership Terms and the Terms of Service on the subject of the Membership, these Membership Terms govern.

1. What Plus Is

LuxGift Plus is an optional, paid membership that provides access to member benefits on the LuxGift platform. Benefits may include reduced or waived platform fees on eligible purchases, early or priority access to selected catalogue items, priority fulfillment, enhanced discovery, and other benefits we describe at the time of enrollment or in the app.

Benefits are provided on a current basis and may change over time. We may add, modify, or remove benefits, and we will describe the benefits in effect at the point of enrollment and in your account. Plus does not include, and is separate from, LuxGift Credits, which are governed by the Plus Credits Terms.

2. Eligibility and Enrollment

To enroll in Plus, you must have a LuxGift account in good standing and meet any eligibility criteria we describe at enrollment. Before you are charged, we will disclose the material terms of the Membership, including the price, the billing frequency, the automatic-renewal nature of the Membership, and how to cancel, clearly and conspicuously, and we will obtain your express affirmative consent to those terms. You authorize us to charge your selected payment method for the Membership as described in these Membership Terms.

3. Billing, Price, and Automatic Renewal

Automatic renewal. Plus is offered on an automatically renewing basis. When you enroll, and at the start of each renewal period, you authorize us and our payment processor to charge your payment method on file the then-current Membership price plus any applicable taxes. Your Membership will automatically renew at the end of each billing period, monthly for a monthly plan or annually for an annual plan, and will continue to renew until you cancel.

Payment processor. Membership charges are processed through our payment processor, Stripe, using the payment method you provide. You are responsible for keeping a valid payment method on file. If a charge fails, we may retry the charge, suspend Membership benefits, or cancel the Membership.

Price changes. We may change the Membership price. If the price of your Membership changes, we will notify you in advance of the change taking effect, in accordance with applicable law, and the new price will apply to your next renewal. If you do not agree to the new price, you may cancel before the change takes effect.

Renewal reminders. Where required by applicable law, we will send you a reminder before a renewal charge, including the renewal date and price and how to cancel.

4. Cancellation

You may cancel your Membership at any time. You can cancel through the same account and medium you used to enroll, for example, in your account settings in the app, using a cancellation method that is at least as easy to use as the method of enrollment. We will not require you to complete any step to cancel that was not required to enroll.

When cancellation takes effect. Cancellation stops future renewals. Your Membership and its benefits continue until the end of the billing period that is already paid for, and then end. You will not be charged for any period after the one during which you cancel.

No partial-period refunds. Except where required by applicable law, cancelling does not entitle you to a refund of the fee for the current billing period, and Membership fees already charged are non-refundable. Nothing in these Membership Terms limits any non-waivable cancellation or refund rights you have under applicable law.

5. Free Trials and Promotional Offers

If we offer a free trial or a discounted introductory period, we will disclose, before you enroll, the length of the trial or introductory period, the price you will be charged when it ends, and how to cancel before you are charged. Unless you cancel before the trial or introductory period ends, your Membership will automatically convert to a paid Membership and renew at the then-current price. You may cancel at any time during the trial as described in Section 4.

6. Relationship to Credits and Purchases

Plus membership is separate from LuxGift Credits and from individual gift and interaction purchases. Your Membership fee does not purchase Credits or any gift, and does not carry a stored cash balance. Any reduced or waived fees provided as a Plus benefit apply only while your Membership is active and only to eligible purchases as described at the time. Cancelling Plus does not cancel, refund, or affect Credits you have already purchased, which continue to be governed by the Plus Credits Terms.

7. Suspension and Termination

We may suspend or terminate your Membership if you breach these Membership Terms or our Terms of Service, if a Membership charge cannot be collected, or if we suspect fraudulent, abusive, or unlawful activity associated with your account. If we terminate your Membership for cause, you will not be entitled to a refund of any Membership fee except as required by applicable law. You may stop your Membership at any time by cancelling as described in Section 4.

8. Changes to These Membership Terms

We may amend these Membership Terms at any time by posting the amended terms. Where a change is material or where required by law, we will provide notice before the change applies to you and, where required, obtain your consent. Your continued Membership after a change becomes effective indicates your acceptance of the amended Membership Terms. If you do not agree to a change, you may cancel as described in Section 4.

9. Disclaimers and Limitation of Liability

The Membership and its benefits are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law. The disclaimers and limitations of liability set out in the Terms of Service apply to these Membership Terms and are incorporated by reference.

10. Governing Law

These Membership Terms are governed by, and construed in accordance with, the laws of the State of Delaware and the United States, without regard to conflict-of-law principles, except to the extent that mandatory consumer-protection laws of your place of residence apply.
